1. About these terms

These Terms of Use ("Terms") govern your access to and use of the websites operated by:

• Sports Tech Africa Limited T/A STZA®, registered in England & Wales (Company No: 16850337), operating stza.io; and
• African Sports Technology Network (Pty) Ltd ("AfricanSTN"), registered in South Africa (Company No: 2026/020895/07), operating africanstn.com.

These two entities operate within the same group and are collectively referred to in these Terms as "we", "our", or "us".

By accessing or using either website, you agree to be bound by these Terms. If you do not agree, please do not use the websites. These Terms apply to all visitors, users, and anyone who interacts with our sites.

These Terms should be read alongside our Joint Privacy Policy, which explains how we collect, use, and protect your personal information.

2. Our services

We provide consulting, research, advisory, ecosystem development, and industry insight services within the sports technology sector. Our services span data protection compliance (including POPIA representation for foreign companies operating in South Africa), fractional finance director advisory, sports technology distribution, community membership, training and events, & market intelligence.

These websites provide information about our services and should not be taken as an offer to contract. Any engagement of our services is subject to a separate written agreement.

3. Age restriction

Our websites and services are intended for users aged 18 years and over. We do not knowingly collect personal information from children. If you are under 18, please do not use our websites or submit any personal information. This is consistent with our obligations under POPIA (which defines a child as anyone under 18) and UK GDPR.

You may use our websites only for lawful purposes and in accordance with these Terms. You agree not to:

It does not constitute and should not be relied upon as legal advice, financial or investment advice, data protection or POPIA compliance advice, tax advice, technical certification, or professional consulting of any kind.

The provision of professional services by STZA or AfricanSTN is subject to a separate written engagement agreement. Any business or compliance decisions made in reliance on website content are made at your own risk and responsibility.

• Content you post in forums or discussions may be visible to other members;
• We reserve the right to suspend or terminate accounts that violate these Terms; and
• We will never publish your profile externally without your explicit consent.

13. Limitation of liability

To the fullest extent permitted by law, Sports Tech Africa Limited and African Sports Technology Network (Pty) Ltd (and their directors, officers, and agents) will not be liable for any loss or damage arising from your use of, or inability to use, the websites; business interruption, loss of profits, revenue, data, or anticipated savings; errors, omissions, or inaccuracies in website content; unauthorised access to or alteration of your data (except to the extent required by applicable data protection law); technical issues, downtime, or interruptions affecting website availability; or any reliance placed on information published on the websites.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or any other applicable consumer protection legislation.

14. Indemnity

You agree to indemnify and hold harmless Sports Tech Africa Limited, African Sports Technology Network (Pty) Ltd, and their respective directors, officers, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the websites.

15. Suspension and termination

We may suspend or terminate your access to the websites, in whole or in part, at any time and without prior notice if you violate these Terms, your activity poses a risk to the security or integrity of the websites, we are required to do so by law or regulatory order, or we undertake maintenance, upgrades, or discontinue any part of the websites.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising from these Terms.

Nothing in these Terms affects the application of mandatory data protection legislation, including the UK GDPR, EU GDPR, and POPIA, to the processing of personal information.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

18. Entire agreement

These Terms, together with our Joint Privacy Policy, constitute the entire agreement between you and us in relation to your use of the websites. They supersede all previous agreements, understandings, and arrangements between us in relation to such use. Nothing in these Terms creates or implies any professional services engagement. The provision of services by STZA or AfricanSTN is governed by separate written agreements.

19. Changes to these terms

We may update these Terms from time to time. The "Last Updated" date at the top of this document will reflect any changes. We encourage you to review these Terms periodically. Continued use of the websites after any changes constitutes acceptance of the revised Terms.
